These Terms and Conditions govern your use of the AVSOFTEC website and services. Please read them carefully.
1. Acceptance of Terms
By accessing our website or engaging AVSOFTEC for software development services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Services
AVSOFTEC provides custom software development, design, consulting, and related digital services. Specific deliverables, timelines, and costs for each project are defined in a separate Statement of Work (SOW) or Master Services Agreement (MSA) signed prior to project commencement.
3. Intellectual Property
Upon receipt of final payment, AVSOFTEC assigns all intellectual property rights in the custom work product to the client. This includes source code, design files, and documentation created specifically for your project. AVSOFTEC retains ownership of: • Pre-existing tools, frameworks, and methodologies • Generic components not created specifically for your project • Open-source components (subject to their respective licenses)
4. Payment Terms
Payment terms are specified in each project agreement. Standard terms include: • 50% deposit before project commencement • Milestone payments as specified in the SOW • Final payment before delivery of production assets Late payments are subject to a 1.5% monthly interest charge. AVSOFTEC reserves the right to pause work on accounts with outstanding balances.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. AVSOFTEC will not disclose your business information, technical specifications, or project details without your written consent. We are happy to sign a mutual NDA upon request.
6. Limitation of Liability
AVSOFTEC's liability for any claim arising from our services is limited to the amount paid for the specific project or service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
7. Warranties
AVSOFTEC provides a 30-day warranty period after project launch covering bugs and defects in the delivered work. This warranty does not cover: • Changes to requirements after delivery • Third-party service failures • Issues arising from client modifications to the code • Force majeure events
8. Governing Law
These Terms are governed by the laws of India. Any disputes shall be resolved through binding arbitration in Dehradun, Uttarakhand, except where either party seeks injunctive relief.
9. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email to active clients. Continued use of our services constitutes acceptance of updated terms.
